Senior Independent Board Member

Salary: None Voluntary Role

Location: team BEDS&LUTON, Wigmore Hall, Eaton Green Road, Luton, LU2 9JB 

team BEDS&LUTON (tB&L) is a dynamic, high performing and forward thinking organisation passionate about helping people get active and stay active in Bedfordshire. As one of 43 County Sports Partnerships (CSP) operating within England, tB&L was established in 2005 and tasked with the strategic development of sport and physical activity within the 3 local authority areas of Central Bedfordshire, Bedford & Luton.

Specific Duties

· Provide a sounding board for the chair

· Serving as an intermediary for other board members when necessary

· Acting as an alternative contact for stakeholders to share any concerns if the normal channels of the chair or the organisations management fail to resolve the matter or in cases where such contact is inappropriate

· Leading the process to appraise the Chair’s performance

Statutory Duties

· Ensure that the organisation complies with its governance procedures and other relevant legislation or regulations.

· Ensure that the organisation pursues its objects as defined in its governing document.

· Ensure that the organisation uses its resources exclusively in pursuance of its objects ensuring that the organisation does not spend money on activities which are not included in its own objects.

· Ensure that the best interests of the organisation and its beneficiaries are served at all times.

· Contribute actively to the board in giving firm strategic direction to the organisation, setting overall policy, defining goals, setting targets and evaluating performance against agreed targets.

· Safeguard the good name and values of the organisation.

· Ensure the effective and efficient administration of the organisation.

· Ensure the financial stability of the organisation.

Other Duties

· Support the Chair in ensuring that every Board Member is able to contribute fully to decision making by fostering a collaborative approach within the Board.

· Support the board in in setting standards and the organisations mission, vision and values.  

· To safeguard the good name and reputation of the organisation.

· To support and challenge, where appropriate, the Chair and team to ensure that the Board conforms to the highest standards of corporate governance and makes appropriate decisions.

· To support a constructive working relationship with Sport England and other major partners. 

· To support the regular performance evaluation of Board Members and act on the results by ensuring appropriate training/development where necessary.

·  Undergo Learning & Development required to enable the role of board member to be undertaken effectively.

In addition to the above duties, each board member should use any specific skills, knowledge or experience they have to help the board reach sound decisions. This may involve:

· Scrutiny of Board papers

· Leading discussions

· Establish and attend relevant sub-committees

· Focusing on key issues

· Providing guidance on new initiatives
