Chair

The Chair has a pivotal role in leading Pentathlon GB, creating the conditions for overall Board and individual director effectiveness, inside and outside the Boardroom. It is the responsibility of the Chair to lead PGB.

The new Chair will be elected at our AGM presently scheduled for November 2016.

The Chair will:

  • Uphold the highest standards of integrity and probity.
  • Set the agenda, style and tone of Board conduct and discussions to promote effective decision-making and constructive debate.
  • Promote effective relationships and open communication, inside and outside the Boardroom, between non-executive directors and within the executive team.
  • Build an effective and complementary Board, initiating change and planning succession in board appointments, subject to Board and stakeholders’ consultation.
  • Oversee induction and development of new Directors.
  • Promote and enforce the highest standards of corporate governance.
  • Ensure a clear structure for and the effective running of Board committees.
  • Ensure effective implementation of Board decisions, engaging the Board in assessing and improving its performance
  • Establish a close relationship of trust with the CEO, providing support and advice, while respecting executive responsibility.
  • Promote diversity and inclusion principles across the Board membership, the Executive and throughout the sport.
  • Provide coherent leadership, including representing the company and understanding the views of members.

The Chair’s essential skills include

  • The ability to command confidence and respect, and exercise influence in the world of sport.
  • Excellent communication skills, including the ability to communicate the Board's policies to others, to listen to the concerns of its membership and reflect them accurately to the Board.

Essential experience

The Chair will have:

Essentially

  • Substantial board experience, ideally at Chair or other senior level in the public, private or voluntary sector, or substantial board experience as a member of a National Governing Body of a Sport or similar organisation.

Desirably most of the following:

  • Knowledge of, and enthusiasm for, Modern Pentathlon, sport and recreation, including the way they are organised and run.
  • Experience of representing a governing body of sport to senior figures at national and international level.
  • Experience of an organisation responsible for handling, managing and making decisions involving significant income and expenditure.
  • Substantial experience of work/commitment to Modern Pentathlon.
  • A high level of education and professional or business experience.

Leadership

  • Promote and direct PGB in its role to meet its objectives.
  • Chair and lead meetings of the Board, ensuring that discussions are held in a fair and effective manner, and that the decisions reached are democratic and are in the best interests of PGB.

Strategy

  • Define, develop and implement policy.
  • Bring forward and lead consideration of policy proposals put before the Board taking account of the advice of the Board's committees and sub-committees, and its Chief Executive and other staff.

Operations

  • Oversee and monitor the work of PGB.
  • Act as line manager for the CEO.

Communications

  • Ensure effective communications within PGB and in its external dealings, especially with UK Sport and Sport England.
  • Chair and attend meetings with senior staff.
  • Represent the Board in key national and, where appropriate, international fora and other high level meetings and events.

Management

  • Liaise closely with the CEO to ensure the best use of resource, professional and managerial skills within the organisation, maintaining a high level of staff morale, commitment and motivation.
  • Oversee the setting of top level management objectives, targets and their delivery.

Finance and Accountability

  • In conjunction with the CEO and Treasurer, ensure PGB funds are properly spent and safeguarded, and that at all times PGB operates economically, efficiently and effectively.
  • Ensure that PGB follows the guidance on propriety laid down in the Staff Handbook.
  • The Chair will:
    1. Ensure that PGB complies with and pursues its objectives as shown in its Memo and Arts and Strategy
    2. Ensure PGB’s operations comply with all relevant legislation.
    3. Highlight potential or actual conflicts of interest and give a lead in their recognition and resolution.
    4. Give firm strategic direction in setting overall policy, defining targets and monitoring performance.
